Summary Rescue Process

Following the announcement of the proposed, 'Summary Rescue Process", a restructuring framework for small and micro companies, the SFA was feautred in the Independent, stating that the "new low-cost examinership scheme will leave businesses with significant problems if an option to exit from leases and other onerous contracts is not included".

 

Champion Green

With the launch of the 2021 Champion Green movement to support small business, backed by a €1m investment to drive consumer support for local enterprise and to help SMEs adapt their businesses, the SFA was mentioned in RTE, Newstalk, Cork Independent, The Echo, Northern Strand, Westmeat Examiner, Bixplus.ie and enviro-solutions.com


SFA Director, Sven Spollen-Behrens, was also on the Pat Kenny show to talk about Champion Green and how to boost Irish business.

New phase of ‘MentorsWork’ launched
 

Launch of assessment tool forms part of a significant expansion of MentorsWork...


Last week, the SFA in partnership with Skillnet Ireland launched the next phase of ‘MentorsWork,’ an initiative aimed at helping Irish small business owners and managers to navigate current business challenges and plan for growth. 

 

A key new addition is the MentorsWork Competency Assessment, an online diagnostic tool which will help business owners and managers to identify skills and development needs. Developed through extensive collaboration with the industry and current MentorsWork participants, this innovative tool guides users through a comprehensive list of questions and generates a bespoke report that contains insights and recommended next steps. The insights and areas of development are then addressed through a programme of mentoring, masterclasses and workshops provided by Skillnet Ireland in partnership with the SFA.  

 

MentorsWork has expanded from 8 weeks to 12 weeks in duration and offers unlimited masterclasses and peer-to-peer workshops as well as one-to-one mentoring.  

 

MentorsWork is a flexible programme designed to provide the skills and supports that small business owner-managers need to improve and grow their business. The programme is fully subsidised by the Government of Ireland and offers integrated learning supports across four key pillars: People, Finance and Growth, Digitalisation and Automation and Business Processes. The programme connects business owners and managers with dedicated expert business mentors to address specific issues on a one-to-one basis. MentorsWork also supports businesses to develop a six-month Strategic Business Improvement Plan.  

 

First introduced in April 2020, MentorsWork has supported 600 businesses to date and this new phase of the programme aims to support a further 600 SME owners/managers. Developed in partnership with industry to boost SME productivity, the programme is available free of charge to small business owners and managers operating across all sectors in Ireland.

Increase to Parent's Benefit
 

Read on to learn more about the update to the Parent's Leave and Benefits Act...


The Parent’s Leave and Benefit Act 2019, which was introduced on the 1 November 2019, provides for two weeks of Parent’s Leave for each parent to allow them time off around the birth or adoption of their child or the child of their spouse or partner. In December 2020, Minister O’Gorman secured Cabinet approval for the extension of the €245 a week paid benefit.​ The bill is currently before Seanad Éireann (Committee Stage or Third Stage). It is expected these changes will come into effect from 1 April 2021. The extension will be made available retrospectively to parents in respect of children born or adopted on or after 1st November 2019.​​ Eligible employees can avail of their two weeks until April 2021, where they can then claim their remaining 3 weeks entitlement.​

 

As provided for in Budget 2021, changes to parent’s leave are as follows:  

  • Parent's Leave and Parents Benefit will be extended from 2 to 5 weeks for each parent. (3-week increase). 
  • Employees will have up to two years to take this leave - previously it was taken within the first 12 months of the birth/adoption of the child.  

The Parent’s Benefit is paid for by the Department of Employment Affairs and Social Protection and there is no legal obligation for employers to provide a top up payment. Considering this, businesses should prepare for and expect more requests from parents seeking time off for childcare commitments this year.

 

It is important to note that the Government, as part of Budget 2021, had intended to extend parent’s leave in light of a commitment given in Budget 2019 to incrementally increase parent’s leave from 2 weeks to 7 weeks by 2021. Section 5 of the Parent’s Leave and Benefit Act 2019 states that the leave may be extended not beyond a period of 9 weeks. Allowing for a maximum period of 9 weeks takes account of the impending transposition of the Work-Life Balance Directive which provides for two months of paid leave. As Ireland is obligated to transpose the minimum requirements of the Directive by August 2022, an increase to parent’s leave was always expected.

Workers, or self-employed?
 

See the UK Supreme Court ruling regarding the rights of drivers at Uber Technologies...


Uber Technologies lost a UK supreme court ruling over the rights of its drivers. In Uber BV and others (Appellants) v Aslam and others (Respondents) [2021] the judges unanimously ruled that Uber drivers are workers who are entitled to rights such as minimum wage, paid annual leave, rest breaks. In the UK, workers being of a greater level of protection under employment law to contractors, they were also afforded protections such as, unauthorised deductions from pay, discrimination or being subjected to a detriment for being a whistle-blower, albeit not granting them the wider employment protections afforded to employees.

 

The Supreme Court set out five considerations which supported their rationale for the decision that the Uber drivers were workers: 

  1. Uber controls over how much the drivers are paid for the work they do. Uber sets the fares for each booking. It was therefore Uber who decided how much drivers received for the work they do. 
  2. Uber required its drivers to sign and accept a standard written agreement, which sets out the contractual terms that govern the services performed by the drivers, with the drivers having no say in those terms. 
  3. Once the driver was logged into the app, Uber controlled whether the driver accepted rides, with enforcement action taken if they cancelled or rejected trips repeatedly. Uber may then take matters further and log drivers out of the app for ten minutes if performance (from Uber’s perspective) does not improve. 
  4. Uber’s rating system implemented a significant degree of control over how the drivers performed the service. For example, Uber guides the driver to the pickup location and sets out a route for the journey. The drivers do not have to follow the specific route but are likely to receive negative customer feedback via the rating if they do not.  
  5. Uber restricts any communication between the drivers and customer to ensure that no relationship develops. Uber handles all complaints and further interactions. 

The Court stated that by “taking these factors together, it can be seen that the transportation service performed by drivers and offered to passengers through the Uber app is very tightly defined and controlled by Uber”. Consequently, the Court concluded that these conditions placed the drivers in a position of subordination and that the drivers had little or no opportunity to improve their economic position via their entrepreneurial skill.

 

Some key takeaways for employers: 

  • Categorising staff as self-employed contractors does not determine their employment status if, in practice, those “contractors” are being treated as employees or workers. 
  • The more control a business or employer has over its workers or how its service is provided may weaken any argument that the worker is self-employed/contractor. 
  • This case sets a precedent for how tribunals will decide future cases regarding employment status. Although the worker’s status depends on weighing up a number of factors, it is clear that a high degree of control exercised by the business or employer that employs individuals will favour an argument that those individuals are regarded as employees.

It is important that a business does not exercise control over the individual if they are hired as a contractor, if this were to occur, they would be regarded as an employee. Misclassification is not only a breach of employment legislation but can also have costly implications for the employer. Summary Rescue Process | Public Consultation
 

New restructuring process sought for the rescue of small firms...


SFA submitted a response to the Department of Enterprise, Trade and Employment consultation on a potential new restructuring process suitable for the rescue of small companies.

 

It is envisaged that new legislation, if enacted, will set out a stand-alone restructuring process separate from examinership. This new process will be tailored specifically for the 98% of Irish companies that are micro and small companies as defined in the Companies Act 2014. This includes all companies that, in the most recent financial year, fulfil two or more of the following requirements: 

  • The turnover of the company does not exceed €12 million 
  • The balance sheet total of the company does not exceed €6 million 
  • The average number of employees does not exceed 50 

The consultation process follows the publication of a report by the Company Law Reform Group.

 

The submission was written by SFA member Declan de Lacy, an insolvency expert from PKF O’Connor, Leddy & Holmes, following consultation with members, and answers questions set out in the consultation focusing on: 

  • Key elements of the process 
  • Excludability 
  • Disqualification from entry 
  • Standard forms 
  • Potential users. 

If implemented and utilised correctly, the Summary Rescue Process, has the potential to have a positive impact on the small business community and become an important insolvency tool.

Small Business Assistance Scheme for COVID
 

New Covid small business support launched...


The Small Business Assistance Scheme for COVID is a grant designed for businesses that are not eligible for the COVID Restrictions Support Scheme, the Fáilte Ireland Business Continuity grant or other direct sectoral grant schemes. Applications should be made to your Local Authority by the closing date 21 April 2021. Eligible businesses will receive a payment of €4,000 for the first quarter of 2021. A decision on the second quarter 2021 will be made in due course. Rate paying businesses including wholesalers, suppliers and caterers down 75% or more in turnover will benefit.

Fiona Mulligan, Childhood Services Ireland’s (CSI) executive will talk you through common misconceptions surrounding the probationary period, review recent case law, IR Issues to consider and go through a step-by-step guide on managing the probationary period.

 

Preparing your small business for new employment legislation
Covid-19 has not stifled the strengthening of employment law in Ireland. Emma Crowley, SFA’s HR Executive will look at a HR and employment law legislation from a small lens, exploring recent changes such as the statutory sick pay, the right to disconnect, remote working legislation, family leave and many more. There will be a review of challenges for employers, frequently asked questions and will provide a means of overcoming those challenges.
